关于股权的问题，很多人是缺少这方面的常识的，合伙之前如果不懂，后面往往吃大亏，我这里普及一下关于股权设计的几条常识：

1、一定控制权67%，相当于100%的权力，可以修改公司章程/分立、合并、变更主营项目、重大决策；相对控制权51%，控制线，控制公司；安 全控制权34%，一票否决权。

2，核心合伙人团队的股权分为资金股与人力股，资金股占小头，人力股要占大头。纯粹按照资金出资比例是不合理的。

3，一定要签协议，把双方的股权比例，分工，责任，义务，都写出来。双方签字盖章。不愿意签协议的都是不定因素。
