股权激励是一种长期的制度安排,需要由不同的时间点组成。时间点的设置非常重要,既要达到企业长期激励的目的,又要使员工觉得努力就能获得汇报,而不是画饼充饥遥遥无期。设计股权激励计划期限需要考虑以下因素:

一股权激励的授予日

股权激励的授予日是激励对象实际获得权益的日期。股权激励的授予日的基础是股权激励的生效日。授予日是在股权激励计划经股东会通过生效后再由企业董事会制定的一个具体日期。生效日在先,授予日在后。授予日是实施股权激励计划的重要时点,诸如:等待期、行权期、锁定期等时间段,一般均以授予日为起算时点。

二、股权激励的等待期

股权激励的等待期是指股权激励对象获取股权激励标的后,需要等待一段时间,达到一系列事前约定的条件后,才可以实际获得对激励股权或激励标的完整的无限制的处分权。这一段等待期限就是股权激励的等待期。

设立等待期的目的一方面是留住员工,将激励对象长期捆绑;另一方面等待期并不是单纯耗费时间的延期支付,等待期内激励对象只有完成既定的业绩目标,才能获得激励标的真正的完整的权益,起到激励效果。等待期不能随意设定,等待期的长短原则上应当与公司阶段性战略目标完成时间相一致,原则上不低于一年。
