  阳光保险称,为适应公司上市后面临的新形势,强化战略推进与目标实现,进一步增强员工的归属感与责任感,实现公司与员工价值共享,公司拟设立员工持股计划。

  持股计划的参与人员范围:

  持有人为对公司业绩提升和中长期发展发挥相应作用的高管人员、关键岗位人员、骨干员工等。具体包括:公司创始团队成员,公司和成员公司各级班子成员、管理人员、关键岗位人员和业务管理、科技、投资、销售等骨干员工(以上员工司龄原则上不少于两年;对于司龄超过十年的老员工,条件可适度放宽;司龄少于两年,但确需列为参加对象的,应经公司董事会批准)。

  本计划拟通过信托计划持有阳光保险集团股份。股份来源于股东转让、购买在公开市场发行的公司股票和公司回购等。

  This plan intends to hold shares of Sunshine Insurance Group through a trust plan. Shares come from shareholder transfers, purchases of company stocks issued on the public market, and company repurchases.

  公司代持股计划与信托机构签署信托合同。信托机构根据信托合同及持股计划方案的规定履行持股计划资产的受托管理义务。公司选任适格的信托公司作为持股计划的信托机构,并与其签订信托合同。信托合同需规定当事人的权利义务、信托财产不得归入信托方固有财产、信托计划的投资、信托费用的计提及支付方式、信托财产投资所产生的权利的行使、风险揭示、违约责任等必要条款。

  股份来源于股东转让的,转让价格即为认购价格;股份来源于购买在公开市场发行的公司股票的,购买价格即为认购价格;股份来源于公司回购的,除非董事会、股东会另有决议,回购价格即为认购价格。

  If the shares are transferred by shareholders, the transfer price is the subscription price; If the shares come from purchasing company stocks issued in the public market, the purchase price is the subscription price; If the shares are repurchased by the company, unless otherwise decided by the board of directors or shareholders' meeting, the repurchase price shall be the subscription price.

  公司所有员工持股计划累计持有股份不超过公司总股本的10%,单个员工所获股份不超过公司总股本的1%。

  资金来源

  持股计划所需资金来源于员工薪酬及其他合法收入。公司不为持股计划提供借款、担保等各类财务支持,不为开展持股计划额外增加员工薪酬。

  The funds required for the shareholding plan come from employee salaries and other legitimate income. The company does not provide any financial support such as loans or guarantees for the shareholding plan, and does not increase employee salaries for the implementation of the shareholding plan.

  持股计划存续期、锁定期及终止

  为进一步建立健全长效激励机制,依照《通知》的要求,对于持有人持有的公司股份所对应的持股计划份额,公司和核心子公司部门级以下员工锁定期为3年、部门级员工锁定期为4年、班子成员锁定期为5年。在相应持股计划份额的锁定期内,持有人不得退出;锁定期届满后,按照上市规则和相关法律法规进行处置,每年度处置比例原则上不得超过25%,具体处置数额根据上述规则并充分尊重持有人意愿确定。如果本条规定的锁定期满,国家法律法规和部门规章对员工持股计划所持股权的锁定或减持另有规定的,从其规定。持股计划存续期为自成立之日起10年,除董事会依据持有人会议要求另有决议外,存续期自动延长。持股计划不再存续的,由持有人会议授权管理委员会同信托机构对持股计划资产进行清算。清算在扣除相关税费、管理成本费用后,按持股计划份额比例向持有人分配剩余资产。清算分配完毕,终结信托计划和持股计划。

During the lock up period of the corresponding shareholding plan shares, the holder shall not withdraw; After the lock up period expires, disposal shall be carried out in accordance with the listing rules and relevant laws and regulations. The annual disposal ratio shall not exceed 25% in principle, and the specific disposal amount shall be determined based on the above rules and fully respecting the wishes of the holders. If the lock up period stipulated in this article expires and there are other provisions in national laws, regulations, and departmental rules regarding the lock up or reduction of equity held in employee stock ownership plans, such provisions shall prevail. The duration of the shareholding plan is 10 years from the date of establishment, and the duration will be automatically extended unless the board of directors decides otherwise based on the requirements of the shareholders' meeting. If the shareholding plan no longer exists, the management committee authorized by the shareholders' meeting and the trust institution shall liquidate the assets of the shareholding plan. After deducting relevant taxes and management costs, the liquidation will distribute the remaining assets to the holders in proportion to their shareholding plan shares. The liquidation and distribution are completed, and the trust plan and shareholding plan are terminated.
