一.分红权

1、 Dividend rights

这是基本的一个投资收益权。怎么理解？就是说公司今年有利润，我就能够分到利润、分到分红；公司没有利润，我就分不到分红。比如说，如果是报表利润全部进行分配的话，你给了我10%的分红股股权，今年年底有100万利润，你就分我10万，有1000万利润你就分我100万。如果今年没有利润，是亏损的，那自然也就没有办法享受分红权了。

就是说我拥有了公司的股份，你每年有利润给我分红，这是我应得的分红权。但是我一块钱买了公司的股份，明年、后年，公司一直在壮大，业绩一直在增长，盈利能力也在增加。在这种时候，我手里的这个股权，还是一元每股吗？——它的价值可能是在增长的。今年营业额做一千万，股价是一元每股，明年营业额变成两千万了，股价可能是两块钱一股，或者一块五一股。这个权利就叫增值权。

溢价权是说这个股权可能按照净资产作价，可能一股就两块钱，但是放在资本市场交易的时候，它可能会变成五块钱。比如你们公司资产负债表显示净资产只有一千万。
