特别提醒：协议签署前一定要明确各方的权利和义务，包括出资金额、负责工作内容、分红比例以及责任和义务。口头承诺的“干股”或代持约定不明，容易导致权责不清、引发确权纠纷。方案必须经过公司股东（大）会的审议和批准，这是《公司法》规定的法定程序，缺少此步骤，方案对股东不发生效力，极易引发纠纷。
