不出钱只出力的技术股怎么给才合理?

合伙创业的时候,你出钱,对方他说我没钱,但对方有一身好功夫,有好技术,这样该如何入股,该如何设计股权呢,我告诉大家三个方法。
When starting a partnership, if you contribute money and the other party says they don't have it, but they have good skills and expertise, how can we invest and design equity? Let me tell you three methods.
第一个,在公司成立之初啊,我们就商量好,技术股东能够拿到最高的股权比例,比如说10%或者20%,这个看约定,然后我们按照分阶段法来分配,这10%或者20%,那比如我们把这个10%分成三份或者四份,每份3%,按照技术股东在公司的效率,也就是说按照他实际的成就来分批次给了他,这样的话就能够有效屏蔽掉,那些在技术上面一无是处的伪技术。

第二个,我们可以用期权股来控制,给技术股东的股权呢,并不是工商登记的股权,而是期权股份,也就是说他未来能够拿到这个股权,而且我们可以跟他约定,他只有在公司工作的时候才能拿到,一旦离开公司,或者做出损害公司利益的事情,那么这个股权就失效了。

This means that they can obtain this equity in the future, and we can agree with them that they can only obtain it while working in the company. 第三个,我们用考核的方式来分配股权,我们也是先确定技术股的股权比例,然后设定岗位任务指标,再按照任务目标的完成情况来分配股权,这种方式适合各种各样的创业公司。
